Terms of Service

This page is a public summary of the Newel Terms of Service. The complete, full-text Terms govern your use of Newel and are available in our full legal documentation, presented at signup, and displayed inside the application.

Current Product Status & “Get Approved”

Important — please read. The Newel operating system (the “OS”) and the in-app features described throughout these Terms — including the dashboards, listing and deal management, billing tiers, AI generations, walkthrough videos, lead-capture tools, and similar functionality — are not currently live, operational, or available for use. Those descriptions reflect the product’s intended design and roadmap, not a service you can access today.

At this time, Newel operates as a website design studio. The “Get Approved for Newel” form and any related sign-up, application, or waitlist flow are simply a way for us to collect your information so that we can contact you and build you a website. Submitting it does not create an account on a live platform, does not grant access to the OS, and does not start a paid subscription or free trial. No fees are charged and no software service is provided unless and until we separately agree with you in writing on a specific engagement (such as a website build). The subscription, billing, credit, trial, and feature terms described below apply only if and when the OS is actually made available to you. Newel is not accepting, onboarding, or taking on users for the newelos.com platform at this time, and any operating-system interface shown on the website or in demonstrations is presented for illustrative and aesthetic purposes only — it does not represent a live or functioning service.

No Warranty on Legal Content

These Terms and any policies, disclosures, agreements, or other legal materials Newel provides or publishes are offered “as is,” for general informational purposes only, and are not legal advice. Newel does not warrant that they are accurate, complete, current, or compliant with the laws of your particular state or jurisdiction. Laws vary and change; we may add to or update these materials over time, but they may lag behind or fail to reflect the requirements that apply to you or your business. You are solely responsible for determining and meeting your own legal and disclosure obligations and for obtaining your own legal counsel, and Newel is not liable for any loss, penalty, or claim arising from any inaccuracy, omission, or out-of-date content in these Terms or any legal materials we provide.

The Service

Newel is software only. It is not a real estate brokerage, law firm, title company, lender, or financial advisor, and it is not a party to any transaction conducted through the platform.

Your Responsibilities

You are responsible for the accuracy of listing data, MLS compliance, fair-housing compliance, disclosures, and any content you publish through Newel, and AI-generated content, graphics, and walkthrough media must be reviewed by you before publication or client use. You may not use Newel to spam, scrape third-party services against their terms, probe for unauthorized access, or attempt to access another customer's data, and you may not copy, resell, sublicense, reverse engineer, decompile, or use Newel source code, templates, workflows, or proprietary system behavior to build a competing product or service.

Regional Availability

Newel is not currently offered to customers located in California. Newel may refuse sign-up, access, or service activation for California-based users or organizations until that market is formally opened.

Subscriptions, Billing & Plan Limits

Newel is sold as a monthly subscription in tiers, and each tier includes a defined, metered allotment of seats, active listings, and AI generations (graphics, walkthrough videos, assistant output, and similar AI-assisted features). These allowances are limits, not guarantees of unlimited use, and they reset at the start of each monthly billing cycle. The Starter tier, at $99 per month, includes one agent seat, up to fifty active listings, fifty AI generations per month, six hundred Newel video credits per month (roughly six ten-second videos), and one MLS region, and does not include bulk email or design and MLS-comparable integrations. The Professional tier, at $299 per month, includes up to three seats, one hundred fifty active listings, five hundred AI generations per month, two thousand Newel video credits per month (roughly twenty videos), bulk email, design integrations, and one lead-capture site. The Team tier, at $799 per month, includes up to ten seats, five hundred active listings, twenty-five hundred AI generations per month, five thousand Newel video credits per month (roughly fifty videos), and team management and reporting. The Brokerage tier, at $1,999 per month, includes unlimited seats, listings, and AI generations, twelve thousand Newel video credits per month (roughly one hundred twenty videos), white-label branding, and brokerage administration, with that "unlimited" allotment subject to the fair-use terms described below. An Enterprise tier is also available at custom pricing, with volume pricing, a custom video-credit allotment of thirty thousand or more per month, and custom limits, integrations, and service levels by written agreement. When a metered allowance is reached, the corresponding feature pauses for the remainder of the billing cycle until it resets or you upgrade, and allowances described as "unlimited" are provided for ordinary single-brokerage business use and may be rate-limited or reviewed where usage is automated, resold, or materially exceeds typical use ("fair use"). All pricing, plan tiers, features, included credits, and usage allowances are subject to change at Newel's discretion at any time; where a change affects an active paid subscription it takes effect from your next billing cycle, and your continued use of Newel after any change becomes effective constitutes acceptance of the change.

Newel Video Credits

Cinematic walkthrough videos are powered by Newel credits, a monthly allotment separate from your AI-generation allowance. Credit cost scales with a video's length, not the number of photos: a 10-second video uses 100 credits, a 5-second video uses 50 credits. Included credits reset every month on your billing anniversary and do not roll over. Additional credit packs may be purchased from inside the app; purchased credits remain available while your subscription is active. Purchased credit packs are non-refundable and any remaining purchased credits are forfeited when your subscription is cancelled or lapses — they do not roll over, carry a cash value, or survive cancellation, so buy only what you expect to use within your active subscription. Credit allotments, pack sizes, and pricing are set by Newel and may change on prospective notice.

Plans are month-to-month with no long-term contract or setup fee, and renew automatically until cancelled in-app. Fees are billed in advance and, except where required by law, are non-refundable, including for partial months and unused allowances.

Free Trial

New accounts may start a free 5-day trial, capped at 1 walkthrough video, 3 template graphics, and 3 AI content generations (plus limited listings and assistant messages) so you can evaluate Newel before subscribing. Everything you create during the trial carries over to your paid subscription. Unless you subscribe, no charge occurs. One trial per customer; Newel may withdraw or limit trials to prevent abuse.

No Guarantee of Results

Newel helps customers market and operate. It does not guarantee leads, closings, revenue, rankings, or business performance.

Acceptable Use & Prohibited Conduct

You agree to use Newel only for lawful real-estate and business purposes and in compliance with all applicable laws, MLS rules, and fair-housing, advertising, anti-spam (including CAN-SPAM), and disclosure requirements. You may not: send unsolicited or unlawful messages; upload content you do not have rights to use; infringe any intellectual-property, privacy, or publicity right; harass, defraud, or impersonate; introduce malware; probe, scan, or attempt to breach security; circumvent plan limits or access controls; scrape or resell data in violation of a source's terms; or use the Service to build or train a competing product. We may suspend or terminate access for any actual or suspected violation.

Lead Capture, Open Houses & Consumer Data

Newel includes tools that collect personal information from third parties on your behalf — including open-house QR and kiosk sign-ins, home-value and other lead-capture forms, IDX landing pages, contact imports, and client-review requests. With respect to any information about consumers, prospects, clients, or open-house visitors you collect through these tools ("Consumer Data"), you acknowledge and agree that: you are the controller of, and solely responsible for, that data; you have provided all required notices and obtained all consents needed to collect, store, contact, and — for reviews and testimonials — publicly display it; you will honor all applicable privacy, fair-housing, do-not-call, and disclosure obligations; and Newel acts only as your processor, handling Consumer Data on your instructions to operate the features you enabled.

Email & Marketing Compliance

If you use Newel to send email campaigns, automated drip sequences, or other outbound communications, you are solely responsible for compliance with all applicable laws, including CAN-SPAM, the TCPA, and their state equivalents, as well as Fair Housing Act requirements. You represent that every recipient has given any consent those laws require, that you will honor opt-out and unsubscribe requests promptly, and that you will not send unlawful, deceptive, or unsolicited messages. Email is delivered through a third-party provider subject to its own terms, and deliverability is not guaranteed. Newel is not liable for your violation of CAN-SPAM, the TCPA, the Fair Housing Act, or any other law when you use the Service to contact your own leads, prospects, or clients — you indemnify us for that risk (see Section 18).

Newel's own marketing to you. By submitting a form on our site, creating an account, or otherwise giving us your email address, you also consent to receive promotional and product email from Newel, separate from the transactional/account messages described in the full Terms of Service. Every marketing email we send includes an unsubscribe link; you can opt out at any time without affecting required account and security messages.

Our internal Do-Not-Call and opt-out policy. Where Newel (Prime Edge LLC) calls or texts you about a website build or other services, we maintain and honor an internal do-not-call and opt-out list. We treat any opt-out request — including replying STOP to a text or emailing hello@newelos.com — as an immediate and lasting request to stop marketing calls and texts, we keep that request on file, and we scrub our live telemarketing calls against the National Do-Not-Call Registry unless we have your prior consent or an existing business relationship that permits the contact.

Lead Scoring & Automated Insights

Newel may compute heuristic "lead scores," buyer-intent signals, marketing analytics, and similar automated insights from activity in your workspace. These are estimates to help you prioritize your own outreach; they are not guarantees, not professional advice, and not decisions that produce legal or similarly significant effects about any individual, and you remain responsible for how you act on them. You may not use these signals in any way that violates fair-housing, anti-discrimination, lending, or consumer-protection laws.

Referral Program

Newel may offer a referral program that grants rewards (such as free subscription time or discounts) when people you refer sign up and subscribe. Rewards have no cash value, are non-transferable, and apply only while your account is active and in good standing. Self-referrals, fake or duplicate accounts, spam, and other abuse are prohibited and may result in forfeiture of rewards and account action. Program terms may change or end on prospective notice.

Intellectual Property & License

Newel, including its software, design, templates, workflows, and brand, is owned by Newel and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business during your subscription. You retain ownership of the content you upload ("User Content") and grant us the limited license needed to host, process, and display it to operate the Service for you. You may not copy, resell, sublicense, reverse engineer, or create derivative works from the Service.

AI-Generated Content

Newel's AI features generate graphics, copy, and walkthrough media automatically and may be inaccurate, incomplete, or non-compliant. AI output is not professional advice. You are solely responsible for reviewing, fact-checking, and editing all AI output, for confirming it is accurate and not misleading, for disclosing digitally created or enhanced media where appropriate, and for ensuring it complies with all applicable advertising, MLS, licensing, and fair-housing rules before you publish or use it.

Privacy & Data

Our handling of personal information — what we collect, why, who we share it with, and how long we keep it (we retain personal data for up to one (1) year after account closure unless a longer period is required by law) — is described in our Privacy Policy, which is incorporated into these Terms. You are responsible for maintaining your own backups; you can export or delete your workspace data from the app at any time. For clarity as to who you are contracting with, the Newel service described throughout this summary is provided and operated by Prime Edge LLC, a South Carolina limited liability company, which for convenience is referred to throughout these Terms as "Newel."

Disclaimers

The Service and all content and outputs are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data or output will be accurate or reliable.

Limitation of Liability

To the maximum extent permitted by law, Newel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, commissions, data, or business opportunity. Our total aggregate liability arising out of or related to the Service will not exceed the greater of the amounts you paid us in the three (3) months before the event giving rise to the claim, or one hundred U.S. dollars (US $100).

Indemnification

You agree to defend, indemnify, and hold harmless Newel from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, your violation of these Terms or any law, or your violation of any third-party right.

Governing Law & Disputes

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in South Carolina. To the extent permitted by law, you and Newel waive any right to a jury trial and agree that claims must be brought individually and not as part of any class or representative proceeding, and any claim must be filed within one (1) year after it arises. These Terms do not require arbitration; disputes are resolved in court as described above. Subscriptions, where offered, renew automatically until cancelled and fees are non-refundable except where required by law, as described in the billing sections above. This page is only a summary: if it ever conflicts with or omits anything in the full Terms of Service, the full Terms control.

Changes to These Terms

We may revise these Terms at any time. The version posted here is the current and controlling version, and your continued use of the Service after changes are posted constitutes acceptance. The complete, most detailed Terms of Service also appear inside the Newel application.
